A company in the Netherlands (BV) may be established by one or more shareholders who act as natural or legal persons. Establishing a remote company in the Netherlands

Opening a company in the Netherlands remotely is not a problem. In order to do so, a special power of attorney must be used, which authorizes a local representative to act on behalf of the company’s founders before the relevant authorities. Such a power of attorney does not need to be notarized; a lawyer’s confirmation is sufficient for its effectiveness.

The key to registering a company in the Netherlands is obtaining its registered office and thus the address to which correspondence will be sent. It is therefore possible to use the services of a virtual office. It should be remembered, however, that in case of some types of activity it will be necessary to obtain a real seat, otherwise the Tax Office may withhold assigning a BTW number, but it does not result in the inability to register a company.

What is important, the Dutch registration procedure does not foresee any special requirements as far as the company name is concerned, it is enough if it contains the abbreviation B.V. This is quite a change, as in most countries in order to register a company it is necessary to first obtain a certificate ensuring that the proposed name is not occupied by any other entity.
